VantageKey - Terms of Service

PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY ACCESSING OR USING THE VANTAGEKEY SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS AND ALL TERMS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT ACCESS OR USE THE SERVICE.

Welcome to VantageKey (the "Service"), operated by VantageKey ("VantageKey," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the VantageKey website (vantagekey.app), applications, APIs, content, features, and services (collectively, the "Service").

1. Agreement to Terms

By creating an account, subscribing to a paid plan, or otherwise accessing or using the Service, you agree that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an entity or organization, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" and "your" will refer to that entity.

2. Description of Service

VantageKey provides a specialized web application featuring an interactive financial events calendar with multiple viewing options (weekly grid and infinite list views), timezone customization, advanced filtering, and comprehensive search capabilities. The Service aggregates information regarding economic data releases, corporate earnings, central bank activities, geopolitical events, and other potentially market-relevant occurrences from various public and proprietary sources.

The Service is offered under a freemium model with the following user roles:

  • Free Tier: Provides access to a basic set of features and event data, subject to limitations as described within the Service.

  • Pro Tier: A paid subscription service providing access to a broader range of event data, premium analysis content (such as "Market Focus" and "Weekly Rundown" reports), advanced filtering, customization options (like timezone selection), longer historical data access, and other features exclusive to subscribers ("Pro Features").

  • AI Features: Certain tiers may include access to AI-powered features utilizing VantageKey's data and analysis knowledge base to provide insights or assist with research ("AI Features"). AI Features are currently in development and may be enabled for Pro subscribers in the future. Use of AI Features is subject to the specific terms and limitations described herein and within the Service.

VantageKey strives to provide accurate and timely information but does not guarantee the accuracy, completeness, timeliness, or reliability of any data or content provided through the Service.

3. User Accounts

  • Registration: To access certain features, including the Free and Pro Tiers, you must register for an account using email/password, magic link, or social authentication (Google, X.com). You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

  • Security: You are responsible for safeguarding your account password and any other credentials used to access the Service. You are responsible for all activities that occur under your account, whether or not you know about them. You agree not to share your account credentials or allow others to access your account. You agree to notify VantageKey immediately of any unauthorized use of your account.

  • Eligibility: You must be at least 18 years old to use the Service.

4. Subscriptions and Payment (Pro Tier)

  • Fees: Access to the Pro Tier requires payment of subscription fees. The Pro Tier is available as a monthly subscription ($15/month) or an annual subscription ($144/year, equivalent to $12/month). Current fees are listed on the VantageKey website (vantagekey.app) or within the Service. These are early access introductory prices; we reserve the right to change fees upon reasonable notice (as described in Section 13).

  • Billing: We use a third-party payment processor (Stripe) to bill you through a payment account linked to your VantageKey account. Monthly subscribers are billed each month; annual subscribers are billed once per year. The processing of payments will be subject to the terms, conditions, and privacy policies of Stripe in addition to these Terms. By subscribing, you agree to pay all applicable fees.

  • Automatic Renewal: Subscriptions automatically renew for successive periods (monthly or annually, based on the plan selected) unless you cancel your subscription before the end of the current subscription period through your account settings or the Stripe Billing Portal.

  • Cancellation: You may cancel your Pro Tier subscription at any time. Cancellation will be effective at the end of your current billing period. Access to Pro Features will continue until the end of the current billing period.

  • Refunds: Subscription fees are generally non-refundable except as described below or as required by applicable law.

    • 7-Day Money-Back Guarantee (First Subscription Only): If you are a first-time Pro subscriber and are not satisfied with the Service, you may request a full refund within 7 calendar days of your initial subscription purchase date. This guarantee applies only once per user account and only to the first Pro subscription payment. To request a refund, email support@vantagekey.app within the 7-day window. Refunds will be processed to the original payment method within 5–10 business days.

    • Subsequent Billing Periods: After the 7-day money-back window has passed, or for any renewal charges, subscription fees are non-refundable. You may cancel your subscription at any time to prevent future charges, and you will retain access through the end of your current billing period.

    • Exceptions: Refunds outside of the 7-day guarantee may be issued at VantageKey's sole discretion on a case-by-case basis. Refunds will not be issued for accounts terminated due to a violation of these Terms.

  • Taxes: You are responsible for all applicable taxes associated with your subscription.

5. Content and Intellectual Property

  • VantageKey Content: The Service and its original content, features, functionality, data compilations, analyses (including premium reports), and visual design are and will remain the exclusive property of VantageKey and its licensors. The Service is protected by copyright, trademark, and other laws of the United States and foreign countries. Our trademarks may not be used in connection with any product or service without the prior written consent of VantageKey. You are granted a limited, non-exclusive, non-transferable license to access and use the Service solely for your personal or internal business purposes, subject to these Terms.

  • Data Sources: Data presented within the Service is aggregated from various third-party sources. While VantageKey endeavors to use reliable sources, we do not independently verify all data points and are not responsible for errors or omissions originating from these sources.

  • AI Feature Output: Output generated by AI Features ("AI Output") is provided for informational purposes only. While based on VantageKey data and analysis, AI Output is generated by automated systems and may contain inaccuracies, errors, or omissions, and may not reflect the most current real-time data. VantageKey does not guarantee the accuracy or reliability of AI Output. You are solely responsible for evaluating the accuracy and appropriateness of any AI Output before relying on it for any purpose, including investment decisions. AI Output may not be republished, redistributed, or used for commercial purposes without express written permission from VantageKey. Ownership of AI Output is subject to the same terms as VantageKey Content unless otherwise specified.

6. Acceptable Use Policy

You agree not to misuse the Service or help anyone else do so. You agree not to:

  • Probe, scan, or test the vulnerability of any system or network associated with the Service.

  • Breach or otherwise circumvent any security or authentication measures.

  • Access, tamper with, or use non-public areas of the Service or VantageKey's (or our service providers') computer systems.

  • Interfere with or disrupt any user, host, or network (e.g., by sending a virus, overloading, flooding, spamming, or mail-bombing any part of the Services).

  • Access, search, create accounts for, or systematically extract data from the Service by any means other than our publicly supported interfaces (e.g., web scraping, bots, or bulk data extraction are strictly prohibited).

  • Share your account credentials or permit any other person to access your account.

  • Resell, sublicense, or redistribute the Service or its data in any form without express written permission from VantageKey.

  • Use the Service to provide investment advice or recommendations to others.

7. Financial Disclaimer

THE SERVICE IS PROVIDED FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. VANTAGEKEY IS NOT A REGISTERED INVESTMENT ADVISOR, BROKER-DEALER, OR FINANCIAL PLANNER. NOTHING CONTAINED IN THE SERVICE—INCLUDING BUT NOT LIMITED TO EVENT DATA, MARKET ANALYSIS, PREMIUM REPORTS (SUCH AS "MARKET FOCUS" AND "WEEKLY RUNDOWN"), AI-GENERATED OUTPUT, FORECASTS, OPINIONS, OR ANY OTHER CONTENT—CONSTITUTES INVESTMENT ADVICE, A RECOMMENDATION, OR AN OFFER TO BUY OR SELL ANY SECURITY, COMMODITY, OR FINANCIAL INSTRUMENT.

  • The views, opinions, and analysis expressed through the Service are subject to change without notice and may not reflect the most current market conditions.

  • Past performance of any security, market sector, or investment strategy discussed within the Service is not indicative of future results.

  • You should conduct your own independent research and due diligence and consult with a qualified, licensed financial advisor before making any investment or financial decisions.

  • All data, forecasts, and analyses are based on information available as of their respective publication dates and may not reflect subsequent market developments.

  • VantageKey does not guarantee the accuracy, completeness, timeliness, or reliability of any information or analysis provided through the Service. Any reliance you place on such information is strictly at your own risk.

8. Disclaimer of Warranties & Limitation of Liability

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. VANTAGEKEY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

IN NO EVENT SHALL VANTAGEKEY'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD $100) OR THE AMOUNTS PAID BY YOU TO VANTAGEKEY FOR THE PAST TWELVE MONTHS FOR THE SERVICES IN QUESTION.

9. Indemnification

You agree to defend, indemnify, and hold harmless VantageKey and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; or b) a breach of these Terms.

10. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Service or delete your account through the available settings. Pro Tier users should cancel their subscription as described in Section 4. Upon termination, your right to use the Service will immediately cease.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

12. Dispute Resolution

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in Houston, Texas, according to the rules of the American Arbitration Association, rather than in court, except that you may assert claims in small claims court if your claims qualify.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect, potentially via email or a notice within the Service. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.

15. Entire Agreement

These Terms constitute the entire agreement between you and VantageKey regarding our Service and supersede and replace any prior agreements we might have had between us regarding the Service.
